Acceptance of Terms

By accessing and using the services of Atrivium AI Solutions LLC ("we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement.

Services Description

Atrivium AI Solutions LLC provides bespoke private AI systems, including:

• Design and deployment of custom AI systems
• On-premise and private cloud AI installations
• Knowledge-base ingestion and RAG implementation
• Custom AI model fine-tuning
• Ongoing maintenance and support services

Consultation and Proposals

All consultations are confidential and non-binding. Proposals are valid for 30 days unless otherwise specified. Pricing and timelines provided in proposals are estimates and may be subject to change based on project complexity.

Intellectual Property

Our IP

Our methodologies, software tools, and deployment processes remain our intellectual property. You receive rights to use the deployed AI system but not to replicate our proprietary methods.

Your Data

All data you provide for AI training and ingestion remains your property. We maintain confidentiality and do not use your data for any purpose other than delivering your AI system.

Privacy and Data Security

We are committed to maintaining the privacy and security of your data. Please see our Privacy Policy for detailed information about our data handling practices.

Payment Terms

• 50% deposit required to begin work on custom projects
• Remaining 50% due upon completion and delivery
• Ongoing maintenance services billed monthly or annually
• Late payments subject to 1.5% monthly interest

Project Timelines

Project timelines are estimates based on information provided during consultation. Delays may occur due to:

• Hardware procurement delays
• Complex data preparation requirements
• Unforeseen technical challenges
• Client response delays

Warranties and Limitations

Service Warranty

We warrant that our services will be performed in a professional manner. We will correct any defects in our work at no additional cost for 90 days following delivery.

AI System Performance

AI system performance depends on many factors including data quality, hardware capabilities, and use case complexity. While we optimize for your specific needs, we cannot guarantee specific performance metrics.

Liability Limitation

Our liability is limited to the amount paid for the specific service in question. We are not liable for indirect, incidental, or consequential damages.

Termination

Either party may terminate services with 30 days written notice. Upon termination:

• Outstanding invoices become immediately due
• Work in progress will be delivered if possible
• Confidential information must be returned or destroyed

Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of our relationship. This obligation survives termination of services.

Governing Law

These terms are governed by the laws of Texas, USA. Any disputes will be resolved in the courts of Travis County, Texas.

Changes to Terms

We may update these terms from time to time. Updated terms will be posted on our website and take effect immediately for new clients and 30 days after posting for existing clients.
